Financial structuring

Financial structuringto institutional standards.

We design the vehicle and the instrument through which a company or a project raises capital within a regulated framework. Services that require additional authorizations are coordinated with specialized, duly authorized providers.

What it is

Turning an illiquid assetinto an instrument investors can buy.

A company can own a building, a portfolio of invoices or a long-term contract and still fail to raise capital. The obstacle is the format: no one can buy the asset as it stands.

Structuring isolates that asset or cash flow in a vehicle, defines who is paid first and under which rules, and issues against it an instrument with a term, seniority and documentation. The asset does not change. The way it can be bought does.

Who it is for

  • Asset owners who need liquidity without selling.
  • Originators that need to move a position off the balance sheet.
  • Originators that want to open their transaction to institutional investors.
  • Funds seeking exposure to an asset class they cannot buy today.

The vehicle

A separate structure, with its own rules.

Where the structure requires it, the vehicle separates the asset or cash flow from the originator's other assets. An investment committee looks at that separation first.

Asset separation

Where the vehicle provides for it, the asset and its cash flow are isolated from the originator's balance sheet.

Institutional documentation

Information document, contracts and reports that withstand due diligence.

Authorized providers

Custody, registry and listing are carried out by providers holding that license.

Strategies

Some of the structureswe work with.

The list is open. An asset with a verifiable cash flow or value can be structured in one of these forms or in a combination.

Private debt

Asset-backed debt instruments.

Private equity

Interests in unlisted companies.

Real estate

The property backs the instrument.

Cash flows and receivables

Contracts, invoices and future cash flows.

Infrastructure and commodities

Concessions, energy, agriculture and metals.

Digital assets

Issuance under Salvadoran law, for qualified investors.

  • Receivables

Trade invoices and receivables portfolios turned into an instrument with a term, seniority and documented backing.

  • Future cash flows

Contracts, rents, royalties, remittances and export flows: the cash flow is isolated in the vehicle and finances today what would otherwise be collected over years.

  • Foreign trade

Financing for import and export cycles, matched to the actual term of each shipment.

  • Commodities and agriculture

Coffee, sugar, grains, gold and metals, with custody, verification and traceability of the underlying before any issuance.

  • Infrastructure and concessions

Projects with a long-term offtake or concession contract, where the instrument is matched to the cash flow profile.

  • Energy and transition

Generation, efficiency and projects with environmental certification verified by an independent third party.

  • Credit portfolios

Consumer credit, microcredit and non-performing loans: portfolios arranged in tranches, with seniority and statistical backing.

  • Equipment and fleets

Machinery, transport and financial leasing, with the asset identified and its residual value modeled.

  • Royalties and intellectual property

Patents, trademarks, catalogs and copyrights: a contractual cash flow that is almost never used as collateral.

  • Art and collectibles

Works with appraisal, custody and insurance, to access liquidity without selling the piece.

  • Sports sector

Economic rights and assets of clubs and federations, structured to the same standard as a corporate transaction.

  • Digital assets

Issuance under Salvadoran law, for qualified investors.

  • Dual rail

One instrument in traditional and tokenized format, so each investor comes in through the channel it already uses.

If your asset is not on the list, the assessment starts from the cash flow it generates and who pays it.

Technology

Preferred infrastructure:Bitcoin and its layer 2.

Bitcoin as the base

A decentralized infrastructure with a long operating and security track record.

Layer 2 for issuance

Where appropriate, issuance takes place on a Bitcoin layer 2 designed for digital assets: fast settlement, issuance in series and confidential amounts.

Neutral by design

Bitcoin and its layer 2 are the preferred infrastructure where appropriate. The law does not mandate a network: if the transaction or the investor requires another, we structure on that one.

The token digitally represents the rights defined by the structure.

The process

Five steps,on a timeline set by each transaction.

Typical estimated timeline: three to five months, subject to the complexity of the transaction, the documentation available and the applicable approvals.

01

Prequalification

We assess whether the asset, the cash flow and the documentation support a structure.

02

Vehicle design

The legal form and its rules are defined before any contract is drafted.

03

Documentation and filing

The filing the regulator reviews.

04

Issuance

With the authorized providers each component requires.

05

Presentation

The transaction is ready to be presented to potential investors.

Initial requirements

What we ask forin the first conversation.

Which asset or cash flow backs the transaction, and who pays it.

How much capital you need and for what term.
