Capital raising

Transactions preparedfor institutional investors.

A transaction gets financed when it reaches the right investor, in a format that investor can buy and with the information its committee needs to decide. That work is almost never done by the project sponsor.

What we do

We prepare the transactionand present it.

Most transactions that fail to raise capital do not fail because of the asset. They arrive incomplete, with figures that do not reconcile across documents, without a defined instrument or in front of the wrong investor.

We put the transaction in order, document it to institutional standards and take it to the investors and distributors it was designed for. We do not place on behalf of third parties and we do not promise a closing. We prepare and present.

What we deliver

  • Pre-NDA teaser that does not expose the issuer.
  • Investment memorandum and financial model.
  • Official data room, organized and with an access log.
  • A defined instrument.

The platform

A proprietary platformfor prequalification.

We built our own prequalification platform, powered by artificial intelligence. A conversational agent takes the originator through each section of the screening. On our side, the transaction file comes out structured, comparable and ready to work on. It includes access to the transaction's data room.

Entered once

The information is entered once and serves the whole process.

Comparable

Every transaction is read against the same criteria, whoever brought it.

Access by invitation

The platform is not public. Access is given to those who start a process with us.

Global institutional capital toward Central America, which is growing above the Latin American average.

The process

Six stages, with a gate in the middle.

01

Prequalification

An honest test of whether the capital can be raised. If the transaction is not ready, we say so in the first conversation, well before month four.

02

Mandate

Scope, instrument, target amount and timeline, in writing, before anything moves.

03

Teaser and appetite check

The pre-NDA teaser, which does not expose the issuer, lets us measure real interest among the investors and distributors the transaction was designed for.

04

Confidentiality and data room

If there is appetite, confidentiality agreements are signed and the official data room opens: organized, versioned and with an access log.

05

Presentation and due diligence

Investment memorandum, financial model, meetings and questions, coordinated through a single point of contact on the issuer's side.

06

Closing

Term sheet, negotiation and final documentation, alongside each party's legal advisors.

The stage 3 filter

The pre-NDA teaser exists to measure appetite without exposing the issuer. If there is no real interest, the process stops there and we tell you so. The data room and the full documentation open once there is a specific counterparty on the other side.

Who it reaches

Funds, family officesand distributors.

Each transaction is mapped against each investor's actual mandate: asset class, geography, ticket size and instrument format. Presenting a transaction to an investor that cannot buy it damages the issuer's name and ours.

Notice

Sound preparation improves a transaction's chances considerably. It does not guarantee them. The issuances we structure are private and addressed to qualified investors. Nothing we publish is an offer or an investment recommendation.
